These Terms of Service (“Terms”) govern access to and use of websites, software, and services provided by Pantokrator Foundry (collectively, “Pantokrator,” “we,” “us”) including Pantokrator (the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy.
Eligibility and Accounts
You must have authority to accept these Terms on behalf of yourself or the entity you represent. You are responsible for all activity that occurs under your account and for keeping credentials secure. Notify us promptly of unauthorized use.
Subscriptions, Fees, and Taxes
Paid plans, usage credits, and features are described at checkout and in your account. Fees are charged in the currency and cycle shown at purchase unless otherwise agreed. Subscriptions renew automatically until canceled through the billing portal or as described at purchase. You are responsible for applicable taxes other than those based on our net income. Failure to pay may result in suspension or termination of access.
License and Acceptable Use
We grant you a non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You will not, and will not assist others to: (a) reverse engineer, scrape, or probe the Services except where such restrictions are prohibited by law; (b) upload unlawful content, malware, or content that infringes third-party rights; (c) attempt to access others’ data without authorization; (d) interfere with or disrupt the Services, networks, or security; (e) use the Services to build a competing product by extracting training data or proprietary models, except as expressly permitted; or (f) use the Services in violation of export, sanctions, or other applicable law.
Customer Data and AI Outputs
You retain rights to the prompts, code, and materials you submit (“Customer Data”) subject to your agreements with us and applicable law. You grant us a license to host, process, and display Customer Data solely to provide and improve the Services. Pantokrator may produce or transform outputs using third-party and first-party systems; you are responsible for reviewing outputs for fitness for your use case and for compliance with law and your obligations to third parties.
Third-Party Services
The Services may integrate with third-party tools (for example, IDEs, model providers, or payment processors). Your use of those services may be subject to the third party’s terms. We are not responsible for third-party products or for outages outside our reasonable control.
Intellectual Property
The Services, including software, documentation, and branding, are owned by Pantokrator Foundry and its licensors. Except for the license above, no rights are granted. Feedback you provide may be used by us without obligation or compensation to you.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL Pantokrator Foundry OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES DURING THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF NO FEES WERE PAID. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.
Indemnity
You will defend and indemnify Pantokrator Foundry and its affiliates, officers, and employees from third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Services in violation of these Terms, or your violation of law or third-party rights.
Suspension and Termination
We may suspend or terminate access for material breach, risk to security, or as required by law. You may stop using the Services at any time. Provisions that by their nature should survive will remain in effect.
Governing Law; Disputes
These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law principles, except where your local law requires otherwise. The exclusive jurisdiction and venue for disputes will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes; Refunds
We may update these Terms from time to time. We will post the new Terms on this page and update the “Last updated” date. For material changes, we will provide additional notice where required. Refund and cancellation terms for paid plans are described in our Refund Policy.
